This Website is owned and operated by NAUAS Ark Ltd (“N.A.U.A.S Ark”, “we”, “our”, or “us”).

These User Terms of Service (“User Terms”) govern your access to and use of our Website at https://nauasark.com (the “Website”) and the related platform, features, and services we provide (together, the “Services”). Please read them carefully. By signing in to a workspace or environment created by a Customer, you become a user of the Services and these User Terms apply to you.

1.    Binding Agreement

These User Terms form a legally binding contract between you and N.A.U.A.S Ark. By accessing or using the Services, you agree to comply with these User Terms and our Acceptable Use Policy, which is incorporated by reference.
We may update these User Terms from time to time to reflect changes in our Services, business operations, or legal obligations. Where required by law, we will provide notice of material changes in advance. The “Last Updated” date at the top of this page reflects the current version. Your continued use of the Services after any update means you accept the revised User Terms.

2.    Authorised Users and Customer Workspaces

You are considered an “Authorised User” if you have been invited to access the N.A.U.A.S Ark platform by a “Customer” — typically your employer or another organisation that maintains an active subscription to our Services.

By accepting an invitation, you acknowledge that:

•    the Customer, not N.A.U.A.S Ark, controls your access to its workspace, including permissions, roles, and tasks assigned to you;
•    your use of the Services is subject to these User Terms, our Acceptable Use Policy, and any additional policies or instructions set by the Customer, provided they do not conflict with these User Terms;
•    the Customer is responsible for your activity within its workspace, including any data submitted, accessed, or processed on its behalf, except where your actions breach these User Terms or our Acceptable Use Policy; and
•    if you are using the Services in connection with your employment, you confirm that you are authorised to act on behalf of your employer when doing so.

3.    What This Means for You – and for Us

The Customer has separately agreed to our Terms & Conditions (the “Terms”), which govern the Customer’s right to create and manage a workspace, configure settings, and invite individuals (including you) to use the Services as “Authorised Users.”

By using the Services, you acknowledge and agree that:

•    the Customer controls its use of the Services, including the workspace or environment and Authorised User access;
•    any content or data you upload, submit, or generate through the Services (“Customer Data”) is controlled and owned by the Customer;
•    the Terms provide the Customer with broad administrative rights over Customer Data, including adding or removing users, assigning permissions, enabling integrations, configuring retention and export settings, and transferring or reassigning workspaces; and
•    these administrative actions may result in access to, use, disclosure, modification, or deletion of Customer Data, including content submitted by you.

4.    The Relationship Between You, the Customer, and Us

As between N.A.U.A.S Ark and the Customer, you acknowledge and agree that the Customer is solely responsible for:

a.    informing you and other Authorised Users of any applicable Customer policies, practices, and workspace settings that may affect the processing of Customer Data;
b.    obtaining all necessary rights, permissions, or consents from you and other Authorised Users required for the lawful collection, use, and sharing of Customer Data and for enabling the Services;
c.    ensuring that the transfer and processing of Customer Data under the Terms is lawful and compliant with all applicable data protection and privacy laws; and
d.    handling and resolving any disputes or issues between the Customer and you (or any other Authorised User) arising from Customer Data, use of the Services, or the Customer’s failure to meet its obligations.

N.A.U.A.S Ark provides the Services to you on an “as is” and “as available” basis. To the fullest extent permitted by law, we make no warranties, representations, or guarantees—express or implied—regarding the Services, including their reliability, availability, or fitness for any particular purpose.

5.    Eligibility and Access

The Services are not intended for use by anyone under the age of eighteen (18), or below the legal working age in their jurisdiction, where applicable law prohibits such use.

By accessing the Services, you represent and warrant that you:

•    are at least 18 years old (or the legal working age in your location); and
•    are the intended recipient of an invitation to access the Services from a Customer.

If either of these representations is untrue, you must not access or use the Services.

All Authorised Users must comply with our Acceptable Use Policy and any additional rules, guidelines, or policies set by the Customer to maintain a secure and professional environment. If you become aware of misuse, inappropriate conduct, or content in the Services, please report it to your workspace’s primary owner, administrator, or employer.

These User Terms will remain in effect until the earlier of:

•    the expiration or termination of the Customer’s subscription that grants you access; or
•    the revocation of your access by the Customer or by N.A.U.A.S Ark.

If you wish to stop using the Services, including due to disagreement with any updates to these User Terms or the Acceptable Use Policy, you should contact the Customer directly.

6.    Intellectual Property 

All rights, title, and interest in and to the Services (including all software, code, designs, content, graphics, trademarks, and branding) are and shall remain the exclusive property of NAUAS Ark Ltd or its licensors. Except for the limited right to access and use the Services in accordance with these User Terms, no rights are granted to you under any of our intellectual property.

You may not copy, modify, distribute, sell, lease, reverse-engineer, or otherwise exploit any part of the Services, except as expressly permitted by these User Terms or applicable law.

You (or the Customer who invited you) retain ownership of any data, content, or materials you upload, submit, or generate while using the Services (“User Content” or “Customer Data”).

By submitting or generating User Content, you grant N.A.U.A.S Ark a limited, worldwide, non-exclusive licence to host, process, display, and transmit such content solely for the purpose of providing and improving the Services, and as otherwise permitted under these User Terms and our Privacy Policy.

You are responsible for ensuring that your User Content does not infringe the rights of third parties or violate applicable laws. We do not actively monitor or control User Content but may remove or restrict access to content where we reasonably believe it breaches these User Terms or applicable law.

7.    Limitation of Liability & Enforcement

7.1 Enforcement Actions

If we reasonably believe that a violation of these User Terms, the Terms & Conditions, the Acceptable Use Policy, or any other applicable policy can be resolved by the Customer (for example, by removing certain Customer Data or taking corrective action), we will ordinarily request that the Customer address the issue directly.

However, we may suspend or disable your account, or take other appropriate action, if:

•    the Customer does not take corrective action within a reasonable period; or
•    we reasonably believe there is a credible risk of harm to N.A.U.A.S Ark, the Services, other Authorised Users, or third parties.

7.2 Limitation of Liability

To the fullest extent permitted by law, neither you nor N.A.U.A.S Ark shall be liable to the other for any:

•    loss of profits or revenue;
•    indirect, incidental, special, consequential, or punitive damages; or
•    loss of data, goodwill, or business opportunities,

regardless of the cause of action, even if advised of the possibility of such damages.

Nothing in these User Terms limits or excludes liability for:

•    death or personal injury caused by negligence;
•    fraud or fraudulent misrepresentation; or
•    any other liability that cannot be excluded or limited under applicable law.

7.3 User Liability Cap

Unless you are also a Customer under our Terms & Conditions, your total financial liability to N.A.U.A.S Ark for any breach of these User Terms shall not exceed one hundred British pounds (£100 GBP) in aggregate.

7.4 Preserved Rights

Nothing in this clause limits either party’s right to seek injunctive or equitable relief where appropriate.

7.5 Indemnification

You agree to indemnify and hold harmless NAUAS Ark Ltd, and its officers, directors, employees, and affiliates, from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

•    your breach of these User Terms or the Acceptable Use Policy;
•    your misuse of the Services; or
•    any content or data you submit, upload, or transmit through the Services that infringes the rights of a third party or violates applicable law.

8.    Application of Consumer Law

To the fullest extent permitted by law, you acknowledge and agree that consumer protection legislation — including, without limitation, the Consumer Rights Act 2015 (UK) — does not apply to your use of the Services, which are provided solely for business and professional purposes.

If, however, you are deemed to be a consumer and such laws are found to apply, nothing in these User Terms limits or excludes your mandatory statutory rights. In that case, and only to the extent required by law, N.A.U.A.S Ark’s liability shall be limited to one of the following remedies (as determined under applicable law):

•    resupply of the Services;
•    repair or replacement of the defective component of the Services; or
•    a refund of the proportionate amount of any prepaid subscription fees for the affected period.

9.    Acceptable Use Policy

You must use the Services only for lawful and authorised purposes, and in compliance with these User Terms and all applicable laws. You agree not to misuse the Services or assist anyone else in doing so.

9.1 Prohibited Conduct

You must not, directly or indirectly:

•    attempt to gain unauthorised access to accounts, systems, or networks;
•    introduce or distribute malware, viruses, or other harmful code;
•    disable, disrupt, or interfere with the integrity or performance of the Services;
•    scrape, crawl, harvest, or extract data from the Services without our prior written consent;
•    bypass, disable, or attempt to circumvent security features, authentication measures, or usage limits;
•    send spam, unsolicited communications, phishing content, or any offensive, obscene, or defamatory material;
•    upload, submit, or transmit content that infringes the intellectual property, privacy, or other rights of any person or entity;
•    use the Services for unlawful, fraudulent, harmful, or abusive purposes (including harassment, exploitation, hate speech, or the distribution of harmful content);
•    use the Services to create, operate, or support a competing product or service;
•    resell, sublicense, or otherwise make the Services available to third parties except as permitted by the Customer’s subscription;
•    engage in excessive or abnormal use of system resources (such as bandwidth, storage, or API calls) that disrupt or degrade the Services; or
•    use the Services in violation of export control, sanctions, or data protection laws.

9.2 Enforcement

We may monitor usage to ensure compliance with this Acceptable Use Policy. If we reasonably believe you have violated this clause, we may:

•    suspend, restrict, or terminate your access to the Services;
•    remove, restrict, or disable access to any offending content;
•    report suspected unlawful activity to relevant authorities; and/or
•    take any other legal or technical action available to protect the Services, our users, and third parties.

10.    Feedback and Suggestions

If you choose to provide feedback, ideas, or suggestions regarding the Services (“Feedback”), you agree that:

•    N.A.U.A.S Ark may use, copy, modify, and incorporate the Feedback into our products, services, or documentation without restriction;
•    we are not obliged to keep any Feedback confidential; and
•    you are not entitled to any payment, credit, or compensation for the use of such Feedback.

By providing Feedback, you represent and warrant that you have the right to share it and that doing so will not infringe the rights of any third party.

11.    Beta Features and Trials

From time to time, we may offer access to new or experimental features, services, or functionality (“Beta Features”), or provide the Services on a trial or evaluation basis (“Trials”).

By choosing to use Beta Features or Trials, you acknowledge and agree that:

•    they are provided “as is” and “as available”, without warranties of any kind;
•    they may contain bugs, errors, or inaccuracies, and may be changed, suspended, or discontinued at any time without notice;
•    we are not obligated to provide support, maintenance, or updates for Beta Features or Trials; and
•    your use is at your own risk, and N.A.U.A.S Ark shall not be liable for any loss, damage, or inconvenience arising from them, except to the extent liability cannot be excluded by law.

Where a Trial is offered for a limited period, your access will automatically end at the conclusion of that period unless you upgrade to a paid subscription in accordance with the Customer’s plan.

12.    Government and Regulated Use

If you access or use the Services on behalf of a government agency, public authority, or within a regulated industry, you agree that:

•    your use of the Services is subject to these User Terms and does not grant you any additional rights beyond those expressly set out herein;
•    no terms or conditions imposed by procurement regulations, government contracting rules, or industry-specific requirements shall apply to your use of the Services, unless expressly agreed in writing by N.A.U.A.S Ark; and
•    you remain responsible for ensuring that your use of the Services complies with all applicable laws, regulations, and professional obligations specific to your sector.

Nothing in these User Terms prevents N.A.U.A.S Ark from entering into a separate written agreement with a government or regulated entity that overrides or supplements these terms.

13.    Survival

Any provision of these User Terms that, by its nature or intent, is intended to survive termination or expiry shall continue in full force and effect after termination or expiry, including but not limited to provisions relating to liability, indemnification, data use, intellectual property, and dispute resolution.

14.    Privacy Policy

Please review our Privacy Policy for details on how we collect, use, and protect data relating to your use of the Services.

15.    Modifications

We may update these User Terms or the Acceptable Use Policy from time to time to reflect changes in our business, services, or legal obligations. The “Last Updated” date at the top of this page indicates the current version.

•    Material changes – where required by law, we will notify you in advance, and such changes will take effect on the date set out in the notice.
•    Non-material changes – are effective immediately upon publication.

By continuing to use the Services after any update takes effect, you agree to be bound by the revised terms. The latest versions of these User Terms, the Acceptable Use Policy, and the Privacy Policy are always available on our Website.

16.    Waiver

No failure or delay by either party in exercising any right or remedy under these User Terms shall constitute a waiver of that right or remedy. Any waiver must be expressly stated in writing and signed by an authorised representative of the waiving party. A waiver of one breach or provision shall not be considered a waiver of any later breach.

17.    Severability

If any provision of these User Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, while preserving its intent. If modification is not possible, the offending provision shall be severed, and the remainder shall continue in full force and effect.

18.    Assignment

You may not assign, transfer, or delegate your rights or obligations under these User Terms without our prior written consent (which shall not be unreasonably withheld).
We may assign or transfer these User Terms, without your consent, to any corporate affiliate or in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of our assets.

19.    Governing Law and Jurisdiction

These User Terms (including the Acceptable Use Policy) and any disputes arising out of or in connection with them shall be governed by the laws of England and Wales, excluding conflict of laws rules and the United Nations Convention on Contracts for the International Sale of Goods.

The courts of England and Wales shall have exclusive jurisdiction over such disputes, and each party consents to the personal jurisdiction of those courts.

Each party shall bear its own legal costs, unless the court orders otherwise. Where a party is found to have acted in bad faith or pursued a frivolous claim, the prevailing party may recover its reasonable legal costs and solicitor’s fees.

20.    Entire Agreement

These User Terms, together with the incorporated policies (Acceptable Use Policy and Privacy Policy), constitute the entire agreement between you and N.A.U.A.S Ark regarding your use of the Services, and supersede all prior oral or written communications on the same subject.

In the event of inconsistency between documents:

a.    the Terms & Conditions between N.A.U.A.S Ark and the Customer shall prevail;
b.    these User Terms; then
c.    the incorporated policies.

The Customer is responsible for notifying you of any such conflicts. Until such notice is provided, these User Terms remain binding.
